1. General Information

1.1. These Terms and Conditions („Terms”) govern the use of the platform, services, and related features (collectively, the „Platform”) provided by UAB Greet Menu („Greet,” „we,” „our,” or „us”), a company incorporated in Lithuania and subject to Lithuanian law.

1.2. By accessing, registering for, or using the Platform, you („User,” „you,” „your”) agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1.3. Users represent and warrant that they are at least 18 years old and have the legal capacity to enter into these Terms. Greet reserves the right to request age verification and may suspend or terminate accounts in the event of non-compliance.

2. Purpose and Scope of the Platform

2.1. The primary purpose of the Platform is to facilitate the collection, management, and withdrawal of tips for restaurant staff. The Platform provides functionalities such as viewing analytical information related to restaurant operations (including, but not limited to orders and payments made via Greet), management, and menu settings for authorized users.

2.2. Users of the Platform include, but are not limited to, restaurant/hotel/HORECA business employees such as waiters, managers, and administrators (collectively, „Staff”).

2.3. Users agree to use the tips collection feature exclusively for the intended purpose of collecting tips. Any unauthorized use, including but not limited to selling goods, collecting non-tip payments, or conducting other transactions unrelated to the Platform’s purpose, is strictly prohibited and constitutes a material breach of these Terms.

2.4. Greet reserves the right to suspend or terminate accounts engaged in unauthorized or fraudulent activities and may report such activities to relevant authorities, including tax authorities and law enforcement agencies.

3. User Eligibility and Account Creation

3.1. To create an account, Users must provide accurate and complete information, including but not limited to:

  • Full name
  • Email address
  • Phone number
  • IBAN for payouts
  • Personal code (if enabling integration with the Lithuanian State Tax Authority (VMI))
  • Optional: Profile picture

3.2. Users are responsible for ensuring the accuracy of the information provided. Greet is not liable for issues arising from incomplete, inaccurate, or fraudulent information.

3.3. Greet reserves the right to request additional documentation to verify the identity and eligibility of Users and may refuse registration at its sole discretion without providing a reason.

4. Account Functionalities and Access Rights

4.1. Users can manage their accounts through the Platform, including updating profile information, viewing tips balances, and initiating withdrawals.

4.2. For Users with administrative privileges, additional functionalities include:

  • Managing restaurant settings and menus
  • Assigning and managing Staff
  • Viewing and analyzing restaurant payments and orders
  • Configuring working hours and tip distribution parameters

4.3. Tip distribution is calculated based on parameters set by the restaurant administrator. Greet is not responsible for errors in allocation or disputes arising from incorrect data input by the restaurant.

4.4. Greet is not liable for tip distribution errors or disputes between Staff members. Once tips are distributed, they may not be refunded or reallocated.

5. Fees, Taxes, and Payment Processing

5.1. Greet reserves the right to charge fees to end-users (e.g., restaurant guests) for services such as bill payments, ordering, or tipping. Any such fees will be clearly disclosed at the point of transaction.

5.2. Greet may charge partner restaurants fees for using the Platform. Such fees will be governed by separate agreements.

5.3. Users are subject to a 15% national income tax (subject to change) on tips collected through the Platform. With the User’s consent, Greet may deduct and remit this tax to the Lithuanian State Tax Authority (VMI) on the User’s behalf. If consent is not provided, Users are solely responsible for declaring and paying taxes independently.

5.4. Any bank fees or charges associated with transferring funds to a User’s IBAN are the sole responsibility of the User. Greet does not reimburse such fees.

5.5. Greet reserves the right to update fees or charges associated with the Platform and will notify Users of such changes in accordance with Section 13 of these Terms.

6. Intellectual Property and Licensing

6.1. All intellectual property rights related to the Platform, including but not limited to software, trademarks, logos, and content, are owned by Greet or its licensors.

6.2. Greet grants Users a limited, non-exclusive, revocable, and non-transferable license to access and use the Platform for its intended purpose. This license does not convey any ownership or proprietary rights to the User.

6.3. Greet reserves the right to revoke this license at any time, with or without cause, and to suspend or terminate access to the Platform at its sole discretion.

7. Account Suspension and Termination

7.1. Users may terminate their accounts by submitting a deletion request. Before account deletion, Users must withdraw any remaining funds. Failure to do so will prevent account deletion.

7.2. Restaurant managers may remove Staff from restaurant-specific access, but affected Users will retain their accounts and the ability to manage their tips independently.

7.3. Greet reserves the right to suspend or terminate User accounts for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or unauthorized activities
  • Compliance with legal requirements or regulatory obligations

7.4. In cases of account suspension or termination, Greet may process a final payout of collected funds and deactivate the account. Greet is not liable for any resulting losses or inconveniences.

8. Limitation of Liability

8.1. The Platform is provided „as is” and „as available,” without warranties of any kind, either express or implied.

8.2. Greet is not liable for:

  • Errors, interruptions, or delays in the Platform’s operation
  • Loss of data or unauthorized access to User accounts
  • Financial losses or disputes arising from tip distribution or payment processing

8.3. Users agree to indemnify and hold Greet harmless from any claims, liabilities, damages, or expenses arising from their use of the Platform or breach of these Terms.

9. Governing Law and Jurisdiction

9.1. These Terms are governed by the laws of the Republic of Lithuania.

9.2. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Lithuania.

10. Updates to Terms and Communication

10.1. Greet reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with the date of the latest revision.

10.2. For significant changes, Greet will notify Users via email or in-app notifications. Users must accept the updated Terms to continue using the Platform.

10.3. Official communication with Greet will be conducted via email at pagalba@greet.lt or through the support hotline available in the app.

11. Miscellaneous Provisions

11.1. These Terms do not create an employment, agency, or partnership relationship between Greet and its Users.

11.2. Greet reserves the right to cooperate with legal authorities in cases of suspected illegal activities, including tax evasion or fraud.

11.3. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
